That classification is not a marketing choice. It is a legal determination with capital, licensing and enforcement consequences. The Nigerian Securities and Exchange Commission (SEC) is the primary regulator for digital-asset issuances that meet the definition of securities under Nigerian law. In 2022, the SEC issued its Rules on Issuance, Offering Platforms and Custody of Digital Assets, establishing an express framework for digital-asset offerings. A stablecoin issuer whose token confers rights analogous to securities – profit participation, governance entitlements, or a claim against the issuer's reserves in a manner that resembles a debt instrument – will fall within the SEC's perimeter. The rules require that issuers and their offering platforms register with the SEC, file prescribed disclosure documents, and comply with ongoing reporting obligations.
The Central Bank of Nigeria (CBN) occupies a parallel and sometimes overlapping position. The CBN regulates payment-system participants, and a stablecoin that circulates as a means of payment or settles transactions between Nigerian residents will attract scrutiny under CBN licensing requirements for payment solution providers and electronic money issuers. The CBN's posture on privately issued stablecoins has been cautious: it launched the eNaira as the sovereign digital currency and has signalled concern about stablecoins that could fragment monetary transmission or create parallel monetary circuits.

Token classification and the securities question in Nigeria
Token classification under Nigerian law turns on substance, not the label an issuer applies on a marketing page. The SEC's rules adopt a substance-over-form approach: if a digital asset confers an ownership interest, a right to returns generated by others' efforts, or a claim against an issuer's assets that mirrors a debt security, it is regulated as a security regardless of whether the issuer calls it a "utility token." A common assumption among issuers is that attaching a utility function – access to a platform, redemption for services – insulates the token from securities classification. That assumption is incorrect. Nigerian regulators, like their counterparts under MiCA and at the SEC in the United States, look at the dominant economic character of the rights the token confers.
For a stablecoin specifically, the classification analysis turns on several axes. First, reserve structure: if the stablecoin is backed by assets that the issuer holds on behalf of token holders, and if holders have a direct claim against those reserves, the instrument may resemble an asset-referenced token or a debt instrument. Second, yield mechanics: if the protocol generates interest or rewards and distributes them to holders, the SEC will scrutinise whether that distribution constitutes a return on investment rather than a utility benefit. Third, governance rights: voting rights attached to a stablecoin can tip the classification toward a security even if the primary function is value stability.
We assess classification against the substance of the rights conferred, working through each axis systematically. A token that passes the utility test on one axis may still fail on another. Issuers who treat classification as a one-time whitepaper exercise, rather than a continuing legal analysis, expose themselves to the risk of an unregistered securities offering – one of the most consequential enforcement outcomes in any jurisdiction.
What does the SEC registration process involve?
Registration under the SEC's digital-asset rules requires the issuer to engage a Digital Asset Offering Platform (DAOP) – an SEC-registered intermediary that hosts the offering and assumes compliance obligations on behalf of the issuer. The DAOP framework means that a foreign issuer cannot simply file directly with the SEC; it must first identify and contract with a locally registered platform, which in turn owes gating duties to the regulator.
The filing package comprises a disclosure document (analogous to a prospectus), a detailed description of the token's technical architecture, a legal opinion on classification, AML/KYC policies, and evidence of adequate custody and reserve arrangements. The SEC's review process involves a comment-and-response cycle that, in our experience advising on comparable regulatory applications across West Africa, can extend from several weeks to several months depending on the complexity of the token structure and the completeness of the initial filing.
Issuers must also address ongoing obligations after authorisation. Periodic reporting, material-change notifications, and any secondary-market trading of the token through licensed platforms are conditions of continued registration. A stablecoin whose reserve composition or redemption mechanics change post-launch may trigger a notification or re-filing obligation.
One dimension that is frequently underestimated is the interaction with the Financial Intelligence Unit (FIU-Nigeria) and the country's AML/CFT regime. Nigeria is an FATF member, and the Travel Rule (the FATF obligation requiring originator and beneficiary data to accompany virtual-asset transfers above a prescribed threshold) applies to VASPs operating in or serving Nigerian customers. A stablecoin issuer that also operates a transfer or distribution mechanism must build Travel-Rule compliance into its architecture at the design stage, not as a retrofit.
Naira-pegged stablecoins: how does the CBN interface work?
A naira-denominated stablecoin raises the most direct CBN exposure because it creates a synthetic representation of the national currency in a form the CBN does not issue or control. The CBN has not, as of our most recent practice observations, issued a bespoke stablecoin-issuance licence; instead, it has used existing payment-system licensing categories – including the Payment Service Bank (PSB) and Mobile Money Operator (MMO) frameworks – as the nearest available instruments for businesses seeking to operate digital payment instruments at scale.
The practical implication is that a naira-pegged stablecoin issuer that wishes to operate within the formal financial system will need either a CBN payment-system licence or a formal engagement with a licensed Payment Service Bank that acts as the reserve custodian and settlement layer. Neither path is straightforward. PSB and MMO licences carry capital, governance and activity restrictions that may be inconsistent with a fully programmable, blockchain-native token architecture.
In a recent matter, a fintech operator sought to issue a naira-referenced stablecoin through a Lagos-incorporated entity while keeping the smart-contract layer on a non-Nigerian blockchain. We advised on the regulatory classification of each component, mapped the CBN payment-system gateway against the SEC's digital-asset rules, and identified the structural approach most likely to achieve operational approval. The issuer restructured the reserve and redemption mechanics before engaging either regulator, which shortened the subsequent review cycle considerably.
How cross-border structure, tax and banking interact
Most stablecoin issuers targeting the Nigerian market do not incorporate in Nigeria alone. The typical structure places the intellectual-property and token-issuance function offshore – in a jurisdiction with a mature digital-asset regime such as ADGM (Abu Dhabi Global Market, regulated by the FSRA) or the BVI (regulated under the VASP Act by the BVI FSC) – while maintaining a Nigerian operating subsidiary to handle local distribution, customer onboarding and CBN-facing compliance. This bifurcated structure can be effective, but it generates its own legal surface area.
The Nigerian Federal Inland Revenue Service (FIRS) and the relevant provisions of the Companies Income Tax Act will assess whether the offshore issuer has a taxable presence in Nigeria based on where management and control are exercised, where economic activity occurs, and where the customer base is located. A stablecoin issuer that processes Nigerian customer transactions, maintains local staff and engages Nigerian banking partners may be treated as carrying on business in Nigeria regardless of its registered address.
Banking access is a parallel pressure point. Nigerian commercial banks remain cautious about servicing entities whose primary business involves digital assets, particularly where the assets include stablecoins that could be perceived as competing payment instruments. Reserve accounts – the accounts that hold the fiat backing for a stablecoin – often need to be held with a bank that has explicitly cleared the arrangement with its own compliance department. We have seen reserve-account applications refused or stalled for months where the issuer did not prepare a clear regulatory-positioning memo before approaching the banking relationship.

Before engaging either the SEC or the CBN, an issuer should be able to answer the following questions with documented, legal-counsel-reviewed responses.
- Has the token's dominant economic character been assessed against the SEC's digital-asset classification criteria by qualified Nigerian counsel?

- Has the CBN payment-system licensing question been addressed, and has the issuer's relationship with a licensed reserve custodian been formalised?
- Has the cross-border tax position been reviewed, including the risk of a Nigerian taxable presence for an offshore issuer?
- Has the banking relationship for reserve accounts been pre-cleared with the relevant bank's compliance team?

Which issuers should pursue Nigerian authorisation, and on what structure?
The decision to pursue Nigerian stablecoin authorisation – as opposed to serving the market through a foreign-licensed entity under a cross-border model – depends on the issuer's business model, user base and risk appetite. Three broad profiles emerge in our practice.
Profile A – the local-first fintech is a Nigerian-incorporated entity whose primary market is Nigerian retail and business users, whose product is naira-denominated, and whose banking relationships are domestic. This issuer has little practical choice but to engage both the SEC and the CBN. The path is to retain a DAOP, complete SEC registration, and pursue a CBN payment-system licence or a partnership with a licensed PSB. The timeline for the full stack is measured in quarters, not weeks. The key risk is the capital and governance requirements imposed by the CBN payment-system regime.
Profile B – the offshore issuer entering Nigeria is a foreign entity with an existing stablecoin product that wishes to extend availability to Nigerian users. This issuer must assess whether the token constitutes a securities offering in Nigeria and whether distribution through Nigerian platforms triggers registration obligations. An SEC exemption or a restricted-distribution model may reduce the regulatory burden, but only if the token genuinely does not meet the securities definition under Nigerian law. The key risk is assuming that a foreign regulatory clearance – including a MiCA authorisation from ESMA in the EU – is recognised or sufficient in Nigeria. It is not.
Profile C – the institutional stablecoin for B2B settlement issues a stablecoin used exclusively for settlement between licensed financial institutions, not distributed to retail users. This issuer may have a narrower regulatory exposure, but the CBN's oversight of interbank settlement systems and the FIRS's transfer-pricing rules still apply. The key risk is that a B2B framing does not survive regulatory scrutiny if the token is in practice accessible to a broader population.
What are the most common mistakes in Nigerian stablecoin applications?
The most consequential mistake is treating token classification as a whitepaper exercise rather than a continuing legal analysis. Issuers who append a "utility token" characterisation to a product that in practice confers reserve claims and yield distributions, and who proceed to market without SEC registration, face the risk of an enforcement action that can require repayment to investors, disgorgement of proceeds and licence denial. A utility label on a whitepaper does not settle the legal classification; the economic substance of the rights does.
A second common mistake is approaching the CBN and the SEC sequentially rather than in parallel. The two regulatory tracks are legally independent but practically interdependent: a CBN payment-system licence may be conditioned on SEC clearance of the token, and a DAOP will typically require evidence of progress on the CBN track before it will commit to the offering. Starting both tracks simultaneously, with a clear regulatory-positioning memo shared with both regulators, is the more efficient path.
A third mistake – one we see particularly in cross-border structures – is failing to pre-clear the reserve-account banking relationship. Operators we advise routinely encounter situations where the token economics, the regulatory filings and the technology are fully prepared, but the launch stalls because no bank has agreed to hold the reserve. Banking due diligence for a stablecoin reserve account takes time and requires a documented legal and regulatory analysis of the issuer's status.
A fourth mistake is the assumption that offshore structuring eliminates Nigerian regulatory exposure. Regulators in the leading hubs increasingly expect issuers to document their market-access analysis for each jurisdiction where users are located, not simply where the issuer is incorporated. An offshore stablecoin with a Nigerian user base and a Nigerian banking relationship will attract Nigerian regulatory scrutiny regardless of the issuing entity's address.

Is my token a security?
Whether a token is a security depends on the substance of the rights it confers, not the label attached to it. In Nigeria, the SEC applies a substance-over-form analysis: if the token confers an ownership interest, a right to returns generated by others' efforts, or a claim against the issuer's assets analogous to a debt instrument, it is likely regulated as a security. Utility functions may be present and still not displace that classification. A formal legal opinion from qualified Nigerian counsel, assessed before launch, is the appropriate basis for this determination.
Do I need a MiCA whitepaper?
A MiCA whitepaper, required under the EU's Markets in Crypto-Assets Regulation for crypto-asset service providers and token issuers operating in the EU or EEA, is not a substitute for Nigerian regulatory disclosure requirements. Nigeria operates its own digital-asset disclosure regime under the SEC's rules. A MiCA authorisation from ESMA or an EU national competent authority is not recognised in Nigeria and does not exempt an issuer from local SEC registration obligations. Issuers targeting both EU and Nigerian markets must satisfy each regime independently.
How should an airdrop be structured legally?
An airdrop – a distribution of tokens to a defined recipient group without direct payment – is not automatically outside the regulatory perimeter. In Nigeria, the SEC will assess whether an airdrop constitutes a public offering of securities based on its structure and the nature of the token distributed. If the airdropped token meets the securities definition, the distribution may trigger registration requirements regardless of the absence of a purchase price. Structuring an airdrop legally requires prior classification analysis, a clear eligibility and distribution mechanism, and documentation of the regulatory basis for any claimed exemption.
